ZestyGo Delivery Partner Terms and Conditions

These terms and conditions ("Terms") constitute a legally binding agreement between ZestyGo ("ZestyGo," "we," "us," or "our") and you ("Delivery Partner," "you," or "your"). By accessing or using the ZestyGo platform ("Platform") to provide delivery services ("Services"), you agree to comply with these Terms.

1 Definitions

1 1 Delivery Partner: Refers to the individual or entity providing delivery services through the ZestyGo platform.

1 2 ZestyGo Platform: Refers to the technology platform provided by ZestyGo through which Delivery Partners can access delivery requests and provide Services.

2 Obligations of the Delivery Partner

2 1 Availability The Delivery Partner shall make themselves available to undertake delivery services as requested through the ZestyGo Platform.

2 2 Vehicle Maintenance: If required, the Delivery Partner shall use their personal vehicle for providing Services and ensure it is well maintained.

2 3 Compliance The Delivery Partner shall hold valid licenses, insurance, and comply with all applicable laws while providing Services.

3 Intellectual Property Rights

3 1 Ownership All intellectual property rights related to the Platform shall be owned by ZestyGo, and the Delivery Partner is granted limited rights to use them for the sole purpose of providing Services.

4 Representations and Warranties

4 1 Capability The Delivery Partner represents that they are capable of entering into this agreement and are of legal age.

5 Termination

5 1 Right to Terminate: ZestyGo reserves the right to terminate these Terms and deny access to the Platform for any breach or misconduct by the Delivery Partner.

6 Inactivity

6 1 Account Inactivity: Failure to log in to the ZestyGo Platform for 15 consecutive days will result in the account being marked inactive.

7 Compliance with Applicable Law

7 1 Legal Compliance: The Delivery Partner agrees to comply with all applicable laws while providing Services.

8 Amendment

8 1 Changes to Terms: ZestyGo reserves the right to amend these Terms at any time without prior notice.

9 Relationship of the Parties

9 1 Independent Contractor: The Delivery Partner acknowledges that they are an independent contractor and not an employee of ZestyGo.

1 . Indemnification and Limitation of Liability

1 .1 Indemnification The Delivery Partner agrees to indemnify ZestyGo against any losses arising from their actions.

1 . Specific Indemnity

1 .1 Vehicle Incidents: The Delivery Partner is solely liable for any incidents involving their vehicle during service provision.

1 . Set-Off

1 .1 Right to Set-Off: ZestyGo may set off any liabilities owed by the Delivery Partner against amounts owed to them.

1 . Dispute Resolution

1 .1 Governing Law: These Terms are governed by the laws of India, and disputes shall be resolved in the courts of New Delhi.

1 . Penalty

1 .1 Fraudulent Activities: ZestyGo may impose penalties for fraudulent activities by the Delivery Partner.

1 . Miscellaneous

1 .1 Force Majeure: Neither party shall be liable for delays due to circumstances beyond their control.

1 . Confidentiality

1 .1 Non-Disclosure The Delivery Partner must not disclose confidential information about ZestyGo to third parties.

1 . Disclaimer

1 .1 No Warranty: ZestyGo does not warrant uninterrupted access to the Platform.

Annexure A

(a Onboarding Fee: As determined by ZestyGo.

(b Security Deposit: As determined by ZestyGo.

(c Training and Support Fee: As determined by ZestyGo.

(d Forfeiture of Security Deposit: The Security Deposit may be forfeited if the Delivery Partner fails to complete at least one order within 30 days.

By accepting these Terms, the Delivery Partner acknowledges and agrees to abide by the obligations outlined herein.
